Non-legalese, Simple Summary

You subscribe to our service for a specific term (annually, monthly, or Lifetime), and your subscription gets renewed automatically at the end of each term.

We define Lifetime as 100 Years of Usage for an account.

You can upgrade or downgrade the level of our services at any time during your usage; however, Stock Engineering does not refund any fees in that case.

We may modify the terms at any point in time but will notify you in advance by updating the terms of use page.

Terms of Service

By accepting these terms, you represent and warrant that you are of legal age and capable of entering into a contract. If acting on behalf of a business, you confirm you are authorized to represent that business.

By clicking “I agree” or using services from Stock Engineering, you agree to be bound by all terms and conditions in this agreement.

This agreement is between Stock Engineering and the service recipient (“Customer”).

4. Stock Engineering’s Responsibilities, Representations, and Warranties

4.1 Agreements:

a. Perform services with reasonable care and skill.

b. Communicate through the customer coordinator.

c. Notify customer if additional charges are expected.

d. Invoice the customer as per agreed terms.

e. Follow instructions for handling data at termination.

4.2 Error Corrections:

Stock Engineering will attempt to correct any errors due solely to its fault, provided it is notified in writing within 30 days.

5. Customer’s Responsibilities, Representations and Warranties

5.1 Agreements:

a. Provide all necessary data and materials in time.

b. Ensure accuracy and completeness of the data.

c. Appoint a coordinator to communicate with us.

d. Comply with our operating and security procedures.

e. Manage account access, IDs, and passwords responsibly.

f. Do not use services for spam or illegal purposes.

g. Acknowledge we are not liable for data loss.

h. Understand we claim no IP rights over your content.

i. Acknowledge we may refuse access at our discretion.

j. Payment only entitles you to use the service, not code rights.

k. Do not exploit, resell, or duplicate our services without permission.

l. Do not impersonate or modify our services to mislead others.

m. Do not send spam, viruses, or destructive code.

5.2 Representations:

You warrant that all information provided to us is accurate and that you comply with applicable privacy laws.

6. Term, Termination and Suspension of Service

6.1 Initial Term: The initial subscription term begins on the effective date and ends as selected during the subscription process.

6.2 Termination by Customer: Customer may terminate the agreement if Stock Engineering fails to meet obligations and does not resolve issues within 10 to 30 days after notice.

6.3 Termination by Stock Engineering: We may terminate for overdue payments, material breach, or insolvency with prior notice.

6.4 After Termination: Fees will not be waived. Data will be deleted within 30 days. Customers must back up data before termination.

6.5 Suspension: Services may be suspended if used unlawfully or if fees are unpaid. Access is restricted during suspension. Notice will be given where possible.

6.6 Retention During Suspension: Suspended accounts will be deleted after 3 months unless an extension is requested and granted.

7. Fees, Billing, Taxes, Charges

7.1 Fees: Fees are effective for the term and may be revised with 30 days notice.

7.2 Billing: We bill on agreed intervals. No refunds for plan changes mid-term. Disputes must be raised within 14 days.

7.3 Payment: Payments can be made via credit card, wire transfer, or cheque. By using a credit card, you authorize us to process payments and share info with payment processors.

7.4 Taxes: All applicable taxes are extra and must be paid by the customer.

8. Modification of Terms and Conditions

Stock Engineering may update these terms. Continued use after notice indicates acceptance.

9. Limited Warranty: Limitation of Damages

All services are provided “as is.” We disclaim all implied warranties. We are not liable for direct or indirect damages. Remedies are limited to service credits. You are responsible for your content and usage.

10. Software and Intellectual Property Rights

We retain all rights to software and IP developed by us. Customer retains rights to their own exclusive content. Customer grants us a license to use their IP for service delivery. We do not assure compatibility with third-party systems.

11. Confidentiality

We maintain confidentiality of your data and take precautions against unauthorized access. Exceptions apply for legal requests or monitoring misuse.

12. Indemnification

You agree to indemnify and hold Stock Engineering harmless for any claims arising from misuse or breach of this agreement.

13. Governing Law

This Agreement is governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of Delhi courts. Customers agree to pay legal costs in case of fee recovery proceedings by Stock Engineering.

14. Severability

If any part of this agreement is found to be unenforceable, the remaining sections shall remain in full force.

15. Waiver

No waiver by Stock Engineering shall be deemed a waiver of future breaches unless explicitly stated in writing.

16. Assignment

Neither party may assign this agreement without written consent, except Stock Engineering may do so in connection with business transfer or restructuring.
